The Site describes our services and programs using marketing names and descriptions, which may include FIH-12™, the 12-Month FIH Guarantee, and the bioaccess® Submission Guarantee (collectively, "Program Statements"). (4.1) All Program Statements, timelines, milestones, statistics, and performance claims are general marketing descriptions for informational purposes, and are subject in their entirety to the specific terms, conditions, eligibility criteria, exclusions, assumptions, dependencies, and remedies set forth in the applicable executed MSA. (4.2) In the event of any conflict between any Program Statement or other Content and an executed MSA, the executed MSA governs and supersedes the Site in all respects. (4.3) No Program Statement — including any use of the word "guarantee" — constitutes a guarantee, warranty, or assurance of: approval, clearance, or any favorable action by the FDA, INVIMA, COFEPRIS, ANVISA, any ethics committee, IRB, or other body; any clinical, scientific, safety, efficacy, or enrollment outcome; study initiation or completion by any date except as expressly provided and limited in an executed MSA; or any commercial or financial result. Regulatory and clinical outcomes depend on numerous factors outside bioaccess's control. (4.4) Any remedy associated with a Program Statement exists only as expressly set forth in an executed MSA and is available only to parties to that MSA. Site visitors acquire no rights or remedies by virtue of any Program Statement appearing on the Site.
The Site and all Content are owned by or licensed to IMH ASSETS CORP. and protected by U.S. and international IP laws; all rights not expressly granted are reserved. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to view the Site and Content for internal, informational, non-commercial evaluation only. WE DO NOT WARRANT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) THE BIOACCESS PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR CONTENT, UNDER ANY THEORY, WHETHER OR NOT ADVISED OF THE POSSIBILITY; AND (B) THE AGGREGATE LIABILITY OF THE BIOACCESS PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00). THESE LIMITATIONS APPLY ONLY TO USE OF THE SITE AND DO NOT LIMIT OR MODIFY LIABILITY PROVISIONS IN AN EXECUTED MSA, WHICH GOVERN THE SERVICES RELATIONSHIP. NOTHING HEREIN EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
You agree to defend, indemnify, and hold harmless the bioaccess Parties from any claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Site or Content; your violation of these Terms; your violation of any law or the rights of any third party; or any information or materials you submit through the Site. bioaccess may, at your expense, assume the exclusive defense and control of any matter subject to indemnification by you.
These Terms and any dispute arising out of or relating to the Site or these Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-laws principles. Any legal action shall be brought exclusively in the state courts located in Miami-Dade County, Florida, or the U.S. District Court for the Southern District of Florida, and you irrevocably consent to personal jurisdiction and venue there and waive any inconvenient-forum objection. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY. Any claim arising out of or relating to the Site must be commenced within one (1) year after the cause of action accrues, or it is permanently barred, to the extent permitted by law.
We may revise these Terms at any time by posting an updated version and updating the "Last Updated" date. Material changes are effective upon posting (or a later stated date). Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Site.
These Terms and the Privacy Policy are the entire agreement regarding your use of the Site and supersede prior understandings regarding the Site; they do not modify or supersede any executed MSA. If any provision is held invalid, it is enforced to the maximum extent permissible and the remainder stays in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign freely. Except for the bioaccess Parties as expressly provided, these Terms create no third-party beneficiary rights.
